Introduction

These Terms & Conditions (“Terms”) govern your access to and use of websites, software, and related services offered by Muwakil (“we”, “us”, “our”). By using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.

Definitions

“Services” means professional services, consulting, custom software delivery, hosting or support we provide under a statement of work or order. “Products” means subscription or licensed offerings such as MuwakilDesk and MuwakilBot. “Client” or “you” means the individual or entity entering into an agreement with us.

Use of Services

You agree to use our websites and products only for lawful purposes and in accordance with these Terms and any applicable agreement. You must not misuse systems, attempt unauthorized access, interfere with security, or use our outputs to violate third-party rights or applicable regulations.

Intellectual Property

Unless otherwise agreed in writing, Muwakil retains rights to its pre-existing materials, tools, and frameworks. Ownership of deliverables is defined in your contract—typically clients receive a license to use commissioned work for their business purposes as specified in the agreement.

Payment Terms

Fees, invoicing schedules, taxes, and currency are set out in your order form or subscription plan. Late payments may incur interest or suspension of services as permitted by law. Refunds, if any, follow the refund policy stated in your specific product or service agreement.

Limitation of Liability

To the fullest extent permitted by applicable law, Muwakil shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability arising out of or relating to the Services is limited to the fees paid by you for the Services giving rise to the claim during the twelve (12) months preceding the event, except where liability cannot be limited by law.

Termination

Either party may terminate services as described in the underlying contract. We may suspend or terminate access for material breach, non-payment, or legal risk. Provisions that by nature should survive termination—including limitations of liability, confidentiality, and governing law—will survive.

Governing Law

These Terms are governed by the laws applicable in the jurisdiction specified in your master agreement, or otherwise the laws of the Hashemite Kingdom of Jordan, without regard to conflict-of-law rules. Courts in that jurisdiction shall have exclusive venue, unless mandatory consumer protections require otherwise.
